Welcome to Chévere Spanish, a brand of Ceteryx LLC, a limited liability company organized under the laws of Wyoming, USA, with its address at 1309 Coffeen Avenue STE 1200, Sheridan, Wyoming 82801, USA (“we”, “us”, “our”). These Terms of Service (the “Terms”) govern your use of the Chévere Spanish website, lessons, and related services (the “Services”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old to use the Services.

2. The Services

Chévere Spanish provides online 1-on-1 Spanish lessons delivered by video call, a free placement test, learning materials, and free downloadable resources. Lessons are 55 minutes long and are booked through our scheduling system using the booking link we provide after purchase.

3. Accurate information

You agree to provide accurate contact and booking information and to keep it current. We are not responsible for missed communications caused by inaccurate information.

4. Subscriptions, billing, and price changes

• Lesson plans are monthly subscriptions that renew automatically each billing cycle until cancelled.
• Payments are processed by a third-party payment processor. By subscribing, you authorize recurring charges to your payment method.
• Current prices are shown on the pricing page and at checkout. If we change subscription prices, we will notify you before the change applies to your next renewal, and you may cancel before it takes effect.
• You are responsible for any applicable taxes.
• If a payment fails, we may pause scheduling until billing is resolved.

5. Lesson credits and scheduling

• Each subscription includes the number of lessons stated in your plan per billing cycle, tracked as lesson credits.
• Rollover: unused lesson credits roll over for one month, then expire.
• Rescheduling: free with at least 24 hours notice, self-serve through your booking link.
• Late cancellation: cancelling a lesson with less than 24 hours notice uses the lesson credit. We may waive the first occurrence as a courtesy.
• No-shows: your teacher waits 10 minutes on the call. After that, the lesson credit is used.
• Lateness: lessons end at their scheduled time regardless of a late start by the student.
• If we cancel: your credit is restored and you receive priority rebooking. If we cancel with less than 24 hours notice, you also receive one bonus lesson credit.
• Pause: you may pause your subscription once per 6 months, for up to 30 days. Credits are frozen during the pause.

6. Cancellation and refunds

You may cancel your subscription at any time, effective at the end of the current billing cycle. Remaining credits stay usable through the end of the cycle plus the rollover window. Payments for a billing cycle that has started are not refunded.

7. Conduct

You agree to use the Services lawfully and respectfully. We may refuse, suspend, or end service to anyone who is abusive toward a teacher, attempts to defraud us, or misuses the Services. Neither party may record lessons without the other’s consent.

8. Materials and intellectual property

All lesson materials, workbooks, guides, tests, and website content are owned by us or our licensors. We grant you a personal, non-transferable, non-commercial license to use the materials for your own learning. You may not copy, sell, publish, or redistribute them.

9. Your submissions

Content you submit as part of learning (for example, homework, messages, and intake answers) remains yours. You grant us a limited license to use it solely to provide the Services to you. Testimonials, including your name, photo, or quote, are published only with your explicit permission.

10. No guaranteed outcomes

Language learning results depend on your starting level, attendance, and practice. We do not guarantee any specific outcome, level, or timeline.

11. Third-party services

Payments, scheduling, and video conferencing are provided through third-party services and are also subject to those providers’ terms and policies.

12. Disclaimer

The Services are provided “as is” and “as available”, without warranties of any kind, express or implied, to the fullest extent permitted by law.

13. Limitation of liability

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Services is limited to the amounts you paid us in the twelve months before the event giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages.

14. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your violation of these Terms or your misuse of the Services.

15. Governing law and venue

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law rules. Disputes will be resolved in the state courts located in Wyoming.

16. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top shows the latest revision. Material changes will be posted on this page, and continued use of the Services after changes take effect means you accept the updated Terms.

17. Severability and entire agreement

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Services.
